The Partnership of IQware and IQware Marketing, LLC

IQware Marketing, LLC (IQMLLC) has worked closely with IQware (IQ) in promoting and selling the unprecedented ability and flexibility of the IQware architecture to the healthcare markets. IQ has patented, proprietary software technology that is directly relevant to these markets, while IQMLLC has significant connections in these markets as well as domain-specific market knowledge.

IQ and IQMLLC have entered into an agreement for cooperation in the planning, design, marketing and sales of health care IT systems. IQware's intent is to focus on the architecture, implementation and deployment of such health care IT systems. IQware Marketing LLC's intent is to focus on the marketing, sales and customer relationship management of such health care IT systems.

IQ has granted IQMLLC an exclusive license for its MTM System and other applications for the healthcare market in the USA, Australia and the UK. IQMLLC will be the exclusive distributor of IQware-based applications for the healthcare market in the USA, Australia and the UK. IQMLLC will promote its use of IQware's software in all of its marketing and sales efforts. This includes, but is not limited to, a "powered by IQware" type of tag-line on the product and company literature, flash screens and various user displays. The exact mechanisms of the ongoing promotion are being developed as the product line is designed and deployed. IQware Marketing, LLC agrees that it will use IQware exclusively for the MTM System and all its future health care and pharmacy-related products as well, recognizing that IQware's products are unique and patented.
